Welcome to NetNudge. By creating an account or using the service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use NetNudge.

1. Service Description

NetNudge is an AI-powered platform that provides users with access to a coordinated network of AI agents. These agents assist with business-related tasks including but not limited to planning, research, development, legal filings, marketing, and operations.

NetNudge is a tool — not a substitute for professional legal, financial, or tax advice. You are responsible for verifying any information or actions taken through the platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. By using NetNudge, you represent that you meet these requirements.

3. Account Registration

You must provide accurate information during registration, including a valid email address and phone number for SMS verification.
You are responsible for maintaining the security of your account credentials.
You must not share your account or allow others to access it.
NetNudge may use a waitlist system. Account activation is at our discretion.

4. Acceptable Use

You agree not to:

Use NetNudge for any unlawful purpose or to facilitate illegal activity.
Attempt to disrupt, overload, or interfere with the platform's operation.
Reverse engineer, decompile, or attempt to extract source code from the platform.
Misrepresent your identity or impersonate another person.
Use automated tools, bots, or scripts to access the service without authorization.
Upload content that is harmful, abusive, defamatory, or infringes on others' rights.

5. AI Agents and Output

AI agents may produce inaccurate, incomplete, or outdated information. You are responsible for reviewing and verifying all output.
Agent actions (e.g., domain registration, LLC filings) that involve real-world consequences require your explicit confirmation before execution.
NetNudge does not guarantee specific outcomes from agent interactions.
Your interactions with agents help improve the quality of the service.

6. User Content

You retain ownership of content you provide to NetNudge. By using the service, you grant NetNudge a non-exclusive, worldwide license to use your content solely to provide and improve the service. We will not sell your content to third parties.

7. Pricing and Payments

NetNudge offers a free tier with limited features.
Premium features are available through paid subscriptions.
Prices may change with 30 days' notice.
Refunds are handled on a case-by-case basis.

8. Intellectual Property

NetNudge, its agents, branding, code, and platform infrastructure are the intellectual property of NetNudge and its licensors. You may not copy, distribute, or create derivative works from any part of the platform without written permission.

9. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may delete your account at any time by contacting support.

10. Disclaimers

NetNudge is provided "as is" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, we disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, NetNudge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

12. Indemnification

You agree to indemnify and hold harmless NetNudge and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or through the platform. Continued use after changes constitutes acceptance.
